Acquisition of joint control of Vantage by Hellman & Friedman and Carlyle: decision published

Official publication has been made of the European Commission’s Decision of 24 November 2020 approving, under Article 6(1)(b) of the Merger Regulation, the acquisition of joint control over Vantage, a newly created insurance and reinsurance provider constituting a joint venture based in the U.S. and in Bermuda. The acquirers are US based investment firms Hellman & Friedman and Carlyle.

The Commission concluded that the proposed acquisition would raise no competition concerns given that the joint venture has no, or negligible, actual or foreseen activities within the European Economic Area. At a worldwide level, the overlapping activities of the companies in reinsurance would result in very modest combined market shares. Simila
