Merger: competition concerns about ‘Mobility as a Service market’ in the Netherlands

The creation of a joint venture by the Dutch companies NS Groep N.V. and Pon Netherlands B.V. has been referred by the European Commission to the Dutch national competition authority.

The object of the joint venture will be a shared ‘Mobility as a Service’ (MaaS) offer. The companies in question are (1) a public transport operator (rail services and public-use bikes), and (2) a global company operating in automotive, bike, equipment, power and systems and industrial mobility areas.

It has been alleged that there is a threat to competition in markets for retail distribution of MaaS services, and other public transport and car-sharing services in the Netherlands, triggering the conditions for such referral under Article 9 of the Merger Regulation.
